Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your use of GMC Marketplace (“Platform”), operated by Tagan Labs LLC, 30 N Gould St, STE R, Sheridan, WY 82801, USA (“Company”, “we”, “us”, or “our”).

By registering for an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

• “User” means any individual who registers an account on the Platform.
• “Seller” means a User who lists a store for sale on the Platform.
• “Buyer” means a User who submits a buy request or purchases a store through the Platform.
• “Listing” means a Shopify store with a reinstated Google Merchant Center account listed for sale.
• “Administrator” or “Admin” means an authorised representative of the Company who manages Platform operations.

3. Eligibility

• You must be at least 18 years of age to use the Platform.
• You must provide accurate and complete registration information.
• You must provide a valid WhatsApp number for communication purposes.
• You are responsible for maintaining the security of your account credentials.
• One account per person. Multiple accounts are not permitted.

4. Identity Verification

All Users are required to complete identity verification before they can buy or sell stores on the Platform. Verification can be completed by uploading any one of the following documents:

• Government-issued photo ID (passport, driving licence, or national ID card) with your name clearly visible.
• Business registration document (company certificate, VAT registration, or equivalent).
• Screenshot of your Shopify admin dashboard (showing store name and a recent date).

• Verification is reviewed by Administrators and may be approved or denied.
• If denied, you will be notified with a reason and may re-submit a different or clearer document.
• Verified Users receive a verified badge on their profile.
• We reserve the right to request additional verification at any time.

5. Listings

5.1 Seller Obligations

• All listing information must be accurate, truthful, and verifiable.
• Sellers must have legitimate ownership or authorisation to sell the listed store.
• Sellers must provide access to Google Merchant Center and Shopify accounts for verification when requested by an Administrator.
• Listings may be removed, modified, or rejected at Administrator discretion if information is found to be inaccurate or misleading.
• Sellers must not list stores that are involved in any legal disputes or have unresolved policy violations.

5.2 Listing Approval

All listings are subject to Administrator review before being made publicly available. We reserve the right to reject any listing without providing a reason.

6. Buying Process

• Buy requests are reviewed by Administrators before a deal chat is initiated.
• All deal-related communication must take place through the Platform’s 3-way chat system (Buyer, Seller, and Administrator).
• Buyers are responsible for conducting their own due diligence before completing a purchase.
• The Platform acts as a facilitator, not a guarantor, of any transaction.
• We do not guarantee the accuracy of any information provided by Sellers.

7. Commission & Fees

• Commission is payable by the Seller upon successful completion of a sale.
• There are no listing fees, subscription fees, or hidden charges.
• Commission covers Administrator facilitation, verification support, and secure transfer assistance.
• Failure to pay commission constitutes a breach of these Terms.

8. Prohibited Conduct

Users must not:

• Provide false, misleading, or fraudulent information.
• Attempt to circumvent the Platform to avoid paying commission (e.g., completing deals outside the Platform after being introduced through it).
• Harass, threaten, or abuse other Users or Administrators.
• Use the Platform for any unlawful purpose.
• Create multiple accounts or impersonate another person.
• Attempt to access other Users’ accounts or data without authorisation.
• Interfere with the operation or security of the Platform.
• Scrape, crawl, or use automated tools to extract data from the Platform.

9. Account Suspension & Termination

• We reserve the right to suspend or permanently ban any User who violates these Terms.
• Banned Users will be notified with a reason for the ban.
• We may terminate accounts that have been inactive for an extended period.
• Upon termination, your access to the Platform will be revoked and your data will be handled in accordance with our Privacy Policy.

10. Intellectual Property

All content, branding, design, and software on the Platform is the property of Tagan Labs LLC and is protected by applicable intellectual property laws. Users may not reproduce, distribute, or create derivative works from Platform content without prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided “as is” and “as available” without warranties of any kind.
• We do not guarantee uninterrupted or error-free operation of the Platform.
• We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• We are not responsible for the actions, omissions, or representations of any User.
• We are not a party to any transaction between Buyers and Sellers and bear no liability for the outcome of any deal.
• Our total liability to you shall not exceed the amount of commission paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Tagan Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

13. Dispute Resolution

• Any disputes between Users should first be raised with an Administrator through the Platform’s support system.
• If a dispute cannot be resolved informally, it shall be governed by the laws of the State of Wyoming, USA.
• Any legal proceedings shall be brought exclusively in the courts of Sheridan County, Wyoming, USA.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered Users via email. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tagan Labs LLC regarding your use of the Platform and supersede all prior agreements and understandings.
