GMC Marketplace – Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the GMC Marketplace platform (the “Platform”).

The Platform is owned and operated by Tagan Labs LLC, a Wyoming limited liability company (“Tagan Labs”, “we”, “us”, or “our”).

By accessing or using GMC Marketplace, you agree to be bound by these Terms.

1. Platform Overview

GMC Marketplace is an online marketplace that connects independent buyers and sellers of digital commerce assets, including but not limited to:

• Shopify stores
• WooCommerce stores
• domain names
• Google Merchant Center accounts
• Google Ads accounts
• associated digital marketing and advertising assets

Tagan Labs LLC operates GMC Marketplace solely as a technology platform and transaction facilitation service.

Tagan Labs LLC does not own, sell, broker, or control any assets listed on the Platform.

All assets listed on the Platform are offered for sale by independent third-party sellers.

2. Nature of Marketplace Transactions

All asset purchases and sales facilitated through the Platform constitute direct transactions between buyers and sellers.

Tagan Labs LLC is not a party to the underlying purchase agreement between buyers and sellers.

Tagan Labs LLC does not act as:

• the seller of any asset
• the buyer of any asset
• a broker representing either party
• a financial institution
• a licensed escrow provider

Tagan Labs LLC provides only marketplace infrastructure and transaction facilitation services.

3. Marketplace Listings

Sellers are solely responsible for the accuracy of their listings.

By creating a listing, sellers represent and warrant that:

• they are the lawful owner of the asset
• they have the legal authority to sell the asset
• the information provided in the listing is accurate and not misleading
• the asset does not infringe third-party rights

Tagan Labs LLC reserves the right to remove any listing at its sole discretion.

4. Buyer Due Diligence

Buyers are responsible for conducting their own due diligence before purchasing any asset listed on the Platform.

Tagan Labs LLC does not verify all listing information and makes no guarantees regarding the accuracy or completeness of listings.

5. Payment Settlement and Platform Role

Tagan Labs LLC, operating the GMC Marketplace platform, provides technology services that facilitate transactions between independent buyers and sellers.

Where payment settlement services are offered, Tagan Labs LLC may receive funds from a buyer solely for the purpose of facilitating the completion of a transaction between the buyer and the seller.

Such funds are received as settlement funds on behalf of the parties to the transaction and are held only temporarily pending completion of the asset transfer.

Tagan Labs LLC does not act as a bank, money transmitter, payment institution, or licensed escrow provider. Tagan Labs LLC does not provide financial services and does not take ownership of the assets being sold.

The underlying sale of any asset occurs directly between the buyer and the seller, and Tagan Labs LLC acts only as a platform operator and transaction facilitator.

Tagan Labs LLC may deduct applicable platform fees or commissions from settlement funds before releasing the remaining amount to the seller.

6. Transaction Facilitation and Settlement Services

To assist with marketplace transactions, Tagan Labs LLC may provide transaction facilitation and payment settlement services.

Where such services are used:

The buyer may submit payment to Tagan Labs LLC.

Such funds are received solely for the purpose of facilitating settlement between the buyer and the seller.

Tagan Labs LLC temporarily holds such funds pending completion of the asset transfer.

Upon confirmation that the asset transfer has been completed:

• settlement funds are released to the seller
• applicable platform fees are deducted

Tagan Labs LLC does not take ownership of the asset being sold at any time.

7. Settlement Funds

Funds received by Tagan Labs LLC in connection with marketplace transactions:

• are held solely for settlement purposes
• are not the property or revenue of Tagan Labs LLC
• may be held in designated client settlement accounts

Tagan Labs LLC acts only as a temporary payment settlement intermediary.

8. Platform Fees

Tagan Labs LLC may charge fees for services provided through the Platform, including:

• transaction commissions
• listing fees
• premium promotional services
• marketplace advertising services

All such fees represent payment for platform services only and are separate from the underlying asset transaction.

International Wire Transfer Fee: Payments made to non-USA bank accounts will incur a $25 international wire transfer fee. This fee is charged by our banking provider for processing international payments and is non-negotiable. The fee will be deducted from the settlement amount before funds are released to the recipient.

9. Taxes

Buyers and sellers are solely responsible for determining and paying any taxes associated with the purchase or sale of assets conducted through the Platform.

The underlying asset transaction occurs directly between buyer and seller.

Tagan Labs LLC is responsible only for taxes applicable to its own service fees or commissions.

10. Disputes Between Buyers and Sellers

Any disputes arising from the underlying transaction are strictly between the buyer and the seller.

Tagan Labs LLC may assist in dispute resolution at its discretion but has no obligation to mediate or resolve disputes.

Tagan Labs LLC may temporarily hold settlement funds while a dispute is reviewed.

11. Fraud Prevention, Verification, and Trust Tiers

Tagan Labs LLC may request verification information from buyers or sellers including:

• identity documentation (government-issued ID, business registration, or store admin screenshot)
• proof of asset ownership
• supporting transaction documents

GMC Marketplace operates a 3-tier trust system based on identity verification and completed deal history:

• Verified (1/3): Identity confirmed via approved documentation.
• Trusted (2/3): Identity verified plus at least 1 completed deal on the Platform.
• Elite (3/3): Identity verified plus 3 or more completed deals. Highest trust level.

Users who have not completed identity verification will be publicly labelled as “Unverified” on all listings and interactions on the Platform. This labelling is applied automatically and is intended to promote transparency and trust across the marketplace.

Tagan Labs LLC may suspend or terminate accounts suspected of fraud.

12. Third-Party Platform Accounts Disclaimer

The Platform facilitates the sale and transfer of accounts associated with third-party platforms, including but not limited to Google Merchant Center, Google Ads, Shopify, and WooCommerce.

Buyers and sellers acknowledge and agree that:

• all third-party platform accounts are subject to the terms of service, policies, and independent review processes of the respective platform provider
• Tagan Labs LLC does not guarantee that any third-party platform account will remain active, approved, or in good standing following a transfer of ownership or access
• the transfer of account access or ownership may trigger reviews, suspensions, or policy enforcement actions by the third-party platform provider
• buyers assume full responsibility for any actions taken by a third-party platform provider following the transfer of an account
• sellers are responsible for ensuring that the transfer of account access complies with the applicable third-party platform’s terms and policies
• Tagan Labs LLC makes no representations regarding the policies of any third-party platform and does not provide legal advice regarding compliance with third-party terms of service

Users are strongly encouraged to review the terms of service of any third-party platform before completing a transaction involving an account on that platform.

Tagan Labs LLC acts solely as a marketplace facilitator and bears no liability for any consequences arising from third-party platform policy enforcement.

13. Limitation of Liability

To the maximum extent permitted by law, Tagan Labs LLC shall not be liable for:

• inaccurate listings
• failure of asset transfer
• buyer or seller misconduct
• financial losses arising from marketplace transactions

Tagan Labs LLC’s total liability shall not exceed the amount of fees paid to Tagan Labs LLC in connection with the transaction.

14. Platform Suspension

Tagan Labs LLC may suspend or terminate any account that:

• violates these Terms
• engages in fraudulent activity
• poses risk to other users or the Platform

15. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

16. Changes to These Terms

Tagan Labs LLC may update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated Terms.

17. Platform Usage Rules

For Sellers:

• All listing information must be accurate and verifiable.
• Sellers must provide access to GMC and store admin (e.g. Shopify or WooCommerce) for verification when requested.
• Commission is due upon successful completion of the sale.
• Listings may be removed at admin discretion if information is found to be misleading.

For Buyers:

• Buy requests are reviewed by admin before proceeding.
• All communication regarding deals must go through the platform chat.
• Buyers should conduct their own due diligence before completing a purchase.
• GMC Marketplace acts as a facilitator, not a guarantor of any transaction.

General:

• Users must not attempt to circumvent the platform to avoid commission.
• All users must maintain respectful communication.
• GMC Marketplace reserves the right to ban users who violate these terms.
• These terms may be updated at any time. Continued use constitutes acceptance.
